About The Job

The Corporate Counsel for FMI’s Biopharma business unit and Clinical Operations business unit will provide legal advice to internal partners at all levels within the company’s Biopharma team (including Business Development and Alliance Management) and Clinical Operations team.  The primary responsibilities for the Corporate Counsel will be drafting and negotiation of agreements with biopharmaceutical companies and academic medical centers in the areas of genomic profiling, companion diagnostic collaboration, biomarker-driven clinical trial recruitment, and other similar activities. The Corporate Counsel will also advise other business units within the company to gain additional cross-functional experience.  The Corporate Counsel will provide prompt, strategic, useful, and thorough input to internal partners and senior management regarding complex and wide-ranging legal matters.  This is a broad business lawyering role that includes strategic and transactional counseling. The Corporate Counsel identifies issues and recommends solutions across a wide variety of complex and sensitive legal and business matters and will advise internal partners in a manner that advances the company’s strategy while also addressing legal risks and protecting the company’s business objectives, integrity, and reputation.

Key Responsibilities

  • Deliver timely, skilled legal advice in support of FMI’s Biopharma team, Clinical Operations team, and related business units.
  • Operate with limited supervision with an ability to independently discern and establish priorities.
  • Ability to identify potential legal issues as well as proposed solutions to mitigate risk.
  • Draft, review, and negotiate general and sophisticated corporate and commercial agreements, including research, licensing, service, collaboration, clinical trial, and data- related agreements.
  • Collaborate with colleagues in the business development, finance, tax, research and development, and commercial functional areas of the company.
  • Identify legal issues, research new legal issues, and provide advice in a manner that integrates legal risk management with FMI’s business objectives.
  • Collaborate closely with intellectual property lawyers on IP-related contractual matters and R&D program support.
  • Advise on contract interpretation, dispute resolution, and legal risks.
  • Appropriately triage workflow, set clear priorities and expectations with clients, and efficiently deliver results.
  • Manage multiple subject matter issues across diverse areas of the company, taking the initiative to identify appropriate subject matter experts and coordinating overall review. 
  • Operate with limited supervision with an ability to independently discern and establish priorities.
  • Other duties as assigned.

Qualifications

Basic Qualifications:

  • J.D. from an accredited, top-tier law school.
  • Admission to any state bar in the United States.
  • 5+ years of progressive legal experience including training at a national or global law firm.

Preferred Qualifications:

  • Experience in-house at a life sciences company, healthcare company, relevant governmental agency, or for a law firm working on healthcare-related matters.
  • Proven ability/interest in working across a broad range of subject matter areas.
  • Expertise in the areas of corporate commercial healthcare, and FDA regulatory law and regulation, including with respect to FDA labeling and promotional matters, healthcare fraud and abuse laws, pricing and reimbursement issues, U.S. and international transparency laws and regulations, privacy laws, anti-bribery laws, and other laws and regulations related to the development and commercialization of diagnostic products.
  • Significant experience drafting, reviewing, and negotiating corporate and commercial agreements, including research, licensing, service, collaboration, clinical trial, and data- related agreements.
  • Prior professional experience advising business partners at all levels of an organization.
  • Strong legal research and analytical skills.
  • Demonstrated ability to prioritize numerous requests for assistance and offer superior work product and advice in a timely, thoughtful and complete manner.
  • Comfortable working independently across FMI at multiple levels.
  • Strong interpersonal and presentation skills, along with the ability to communicate effectively with individuals at all levels of the organization.
  • Sound legal and business judgment with the ability to identify and escalate legal issues when needed.
  • Ability to balance a variety of projects with deadline pressures and limited supervision.
  • Ability to establish and maintain strong relationships within the FMI’s business teams and Legal team.
  • Ability to engage professionally and maturely with colleagues at all levels, including external partners, and to influence outcomes through effective leadership skills.
  • Ability to work in a dynamic, evolving and fast-paced work environment, with the confidence and abilities to work independently.
  • Exceptional verbal and written communication skills, with the ability to communicate complex issues in a clear way.
  • Well-organized with strong planning skills, and extremely high attention to detail.
  • Track record of successfully influencing business outcomes.
  • Excellent interpersonal skills, with the ability to be a solutions-oriented and collaborative team player.
  • Unquestioned integrity, credibility, and judgment.
  • Ability to work well under pressure while maintaining a professional demeanor.
  • Understanding of HIPAA and importance of privacy of patient data.
